TERMS & CONDITIONS

1. An estimate by KABA Graphics will remain valid for 30 days. If by that time the estimate is not accepted, it will be subject to review.


2. Orders regularly made in writing will not be cancelled except when compensation is paid to KABA Audio at standard rates for work already completed.


3. Experimental work performed at customer's request, such as sketches, composition, computer renditions, plates, presswork and materials will be charged at standard rates and may not be used without the consent of KABA Audio Productions.


4. Property. Artwork, electronic artwork, CRA, templates, comps, mockups, and other preparatory work created or furnished by KABA Audio Productions shall remain our exclusive property unless agreed to in writing. No use of same materials shall be made, nor any ideas obtained from those materials be used, except by compensation to be determined by KABA Audio Productions.


5. Condition of customer art. Estimates for prepress are based on the receipt of good quality art on KABA templates and meeting KABA Art Specs. Condition of electronic art which deviates from this standard is subject to re-estimating and pricing review by KABA Audio Productions at the time of the submission of art, unless otherwise agreed to in writing.


6. Alteration represents work performed in addition to the original specifications. Such additional work shall be charged at current rates for prepress, film and production. KABA will correct mistakes made by us without charge, if you notify us when you return your proof.


7. Proofs shall be submitted with original copy. Corrections are to be made on the proofs, returned marked "OK"or "OK with corrections" and signed and dated by customer. If revised proofs are desired, request must be made when proofs are returned. KABA Audio Productions regrets any errors that may occur through production undetected, but cannot be held responsible if the work is printed per customer's OK or if changes are communicated verbally. KABA Audio Productions shall not be responsible for errors if the customer has not ordered or has refused to accept proofs or has failed to return proofs with indication of changes or has instructed KABA Audio Productions to proceed without submission of proofs.


8. Production schedules & turnaround times. "Delivery schedules" or similar terms used by KABA Audio Productions merely reflects the current, average completion times of standard orders. It is not contractual, unless otherwise agreed in writing by KABA Audio Productions. Time is not the essence of this agreement.


9. Customer-furnished materials such as paper stock, electronic art, CRA, film, and other customer-furnished materials shall be manufactured, packed and delivered to KABA Audio Productions specifications. Additional cost due to delays or impaired productions caused by specification deficiencies shall be charged to the customer. All customer-furnished materials are returned to customer upon request.


10. Due to the nature of offset printing process, overruns or underruns not to exceed 10% of quantities ordered shall constitute acceptable delivery. KABA Audio Productions will deliver within this tolerance.


11. Payment shall be net cash as follows for all orders: 75% deposit on submission of order by customer; balance due cash on delivery unless other provisions have been made in writing and agreed to by both parties.
